  1. SECURE UP CORPORATION  END-USER LICENSE AGREEMENT 
  2.  
  3. DO NOT USE THIS PRODUCT UNTIL LICENSEE HAS CAREFULLY 
  4. READ THE FOLLOWING TERMS AND CONDITIONS.  USING THIS 
  5. PRODUCT INDICATES THAT THE SINGLE END-USER OF THE 
  6. ENCLOSED SOFTWARE (THE "LICENSEE") ACCEPTS THESE 
  7. TERMS AND CONDITIONS. IF LICENSEE AGREES TO ALL 
  8. TERMS AND CONDITIONS, CLICK ON THE 'I AGREE' BUTTON; 
  9. OTHERWISE, CLICK ON THE 'EXIT' BUTTON.

  11. ENTIRE AGREEMENT
  12. Licensee acknowledges that Licensee has read this agreement 
  13. and understands this agreement (the "Agreement") is the final, 
  14. complete and exclusive statement of the entire agreement between 
  15. Secure Up Computer Corporation ("Secure Up") and Licensee.  This Agreement
  16. supersedes any prior and contemporaneous proposals, purchase 
  17. orders, advertisements, and all other communications in relation 
  18. to the subject matter of this agreement, whether oral or written.  
  19. No terms or conditions, other than those contained in this 
  20. Agreement, and no other understanding or agreement which in any 
  21. way modifies these terms and conditions, shall be binding upon 
  22. Secure Up unless made by a written agreement, executed by duly 
  23. authorized representatives of both Secure Up and Licensee.
  24.  
  25. LICENSED SOFTWARE AND DOCUMENTATION LICENSE
  26. 1.  Licensee may not alter, assign, create derivative works,
  27.     decompile, disassemble, distribute, lease, modify, reverse
  28.     engineer, sublicense, transfer or translate in any way the
  29.     Licensed Software or Documentation.
  30. 2. If either the Licensed Software or Documentation is used in any
  31.     way not expressly and specifically permitted by this License,
  32.     then the License shall immediately terminate.  Upon the
  33.     termination of the License, Licensee shall thereafter make no
  34.     further use of the Licensed Software or Documentation, and
  35.     Licensee shall delete all licensed materials from the Central
  36.     Processing Unit.
  37. WARRANTIES
  38. 1.  NO WARRANTY ON LICENSED SOFTWARE OR DOCUMENTATION.  
  39.     Secure Up licenses the Licensed Software and Documentation solely on
  40.     an "AS IS" basis without warranties of any kind, such as
  41.     warranties of merchantability or fitness for any particular
  42.     purpose.  The entire risk of quality and performance is with
  43.     Licensee.  The Software and Documentation are not represented to
  44.     be error-free.  If either the Licensed Software, Documentation
  45.     or both prove to be defective, Licensee assumes the entire cost
  46.     of all servicing, correction or repair.
  47. 2.  The foregoing warranty gives Licensee specific legal rights, and
  48.     Licensee may also have other rights which vary from state to
  49.     state.  Some states do not allow the limitation or exclusion of
  50.     implied warranties, so the above limitations may not apply to
  51.     Licensee.
  52. 3.  In no event shall Secure Up be liable for any other obligations or
  53.     liabilities including, but not limited to, liability for damages
  54.     (whether general or special, direct or indirect, consequential,
  55.     incidental, exemplary), or for any claim for the loss of profits,
  56.     business or information, or damage to good will even if Secure Up has
  57.     been advised of the possibility of such damages.  In any event,
  58.     Secure Up's maximum liability shall be limited to the amount of the
  59.     purchase price.  Some states do not allow the limitation or
  60.     exclusion of incidental or consequential damages, so the above
  61.     limitations may not apply to Licensee.
  62.  
  63. U.S. GOVERNMENT RESTRICTED RIGHTS LEGEND
  64. The Licensed Software and Documentation have been developed
  65. exclusively at private expense, and are provided with RESTRICTED
  66. RIGHTS.  Use, duplication or disclosure by the Government is subject
  67. to restrictions as set forth in subparagraph (c)(1)(ii) of the
  68. Rights in Technical Data and Computer Licensed Software clause at
  69. 10-13-00. Secure Up is the Contractor, and is located at
  70. 249 N. Brand Blvd #307 Glendale, CA 91203, (818) 507-7454, (818) 240-7770

  72. MISCELLANEOUS
  73. This Agreement shall be considered severable, and if for any reason
  74. any term or condition is determined to be invalid, illegal or
  75. unenforceable under current or future law, such invalidity shall not
  76. impair the operation of, or otherwise effect, the valid terms and
  77. conditions of this Agreement, so long as the intent of this Agreement
  78. is maintained.
  79.  
  80. This Agreement shall be governed by, construed and enforced in
  81. accordance with the laws of the Commonwealth of Pennsylvania, with
  82. the exception of its conflict of law provisions.  The parties consent
  83. to the personal jurisdiction of the Commonwealth of Pennsylvania and
  84. agree that any legal proceedings arising out of this Agreement shall
  85. be conducted solely in such Commonwealth.
  86.  
  87. No action, regardless of form, arising out of this Agreement may be
  88. brought by either party more than one (1) year after a claim has
  89. accrued.
